Changing status of a Hong Kong Company

There may be several reasons to change a company status:

  • A private Hong Kong company limited by shares converting to a public company
  • A public company with a share capital converting to a private company

From Private Company to Public Company

The conversion process:

  1. The board of directors instructs the company secretary to convene an EGM to pass a special resolution.
  2. After the EGM, Form NAA4, Form NNA1, a set of Articles of Association and a certified copy of financial statements are lodged with the Companies Registry.
  3. The change of company status is reflected in the company’s records at the Companies Registry.

 

From private to public

The conversion process:

  1. The board of directors instructs the company secretary to convene an EGM to pass a special resolutions.
  2. After the EGM, Form NAA1, Form NAA4 and a certified copy of amended articles of association are lodged with the Companies Registry within 15 days.
  3. The change of company status is reflected in the company’s records at the Companies Registry.
