Appointment of Company Directors
Every private company incorporated in Hong Kong is required to appoint at least one natural person as a director. If the company is not a member of a group of companies that includes a listed company, a body corporate may be appointed as a director. However, the company is still required to appoint at least one natural person.
Company Director Requirements:
– must be of full age and capacity (i.e. 18 years old)
– must not be disqualified under the Companies Ordinance or any other laws
If the director is the sole director of the company, the company may appoint a reserve director at general meeting to take over the management of the company in the event of the death of the sole director.
